Proact has signed an agreement to purchase Denmark-based IT company Consular ApS to strengthen its expertise in infrastructure and cloud solutions.

With activities across both the public and private sectors, the newly acquired organisation reported revenue of DKK 86m (£10m) and EBITA of DKK 16m for the 12 months to September 2025.

Consular was acquired for an initial consideration of DKK 65m on a cash- and debt-free basis, with a potential earn-out of up to DKK 22m, subject to the achievement of financial targets, and payable between 2026 and 2027.

The Danish firm will gain access to the VAR’s European footprint, portfolio, and vendor relationships.

The transaction is expected to close during the fourth quarter of 2025, subject to regulatory approval, after which it will become part of Proact's Nordic & Baltics business unit.

“Consular has a strong market position, deep technical expertise and a corporate culture that is well aligned with our own,” said Magnus Lönn, president and CEO of Proact.

“By combining two strong organisations, we are creating a leading offering in infrastructure and cloud solutions that supports our customers on their digital journey.”

Knud Ottosen, partner at Consular, added: “By combining our organisations, experience, and in-depth technical expertise, we will be even better equipped to deliver value and innovation to our customers.”

The buyout will also intend to boost Proact’s position in the Nordics, as the market represents its most important region and 57 per cent of its total earnings, with revenue standing at SEK 672.4m in Q2 FY25.

This marks the firm’s second buyout this year, following the purchase of UK-based cloud native consulting, engineering, and managed services business BlakYaks in March.

It is also its second investment in the Nordics since its acquisition of Swedish IT infrastructure firm Conoa in 2021.

The VAR’s UK arm ranks number 88 in CRN’s Top VARs list.
