General Atlantic takes a $25m bite of Westcon-Comstor
The deal values the distie at $950m and leaves Datatec as majority shareholder
General Atlantic has acquired a five per cent stake in Westcon-Comstor as part of a refinancing transaction that values the distributor at $950m (£718.5m).
The deal sees General Atlantic become both a minority equity investor and long-term financing partner to the business, providing a $375m debt facility alongside a $25m equity co-investment, while parent company Datatec retains majority ownership.
The transaction values Westcon International Group Holdings Limited (WIGHL) at $950m before repayment of the shareholder loan and $500m after repayment.
The transaction is expected to close on 14 July 2026.
“The introduction of General Atlantic as both a financing partner and minority investor provides us with greater flexibility to accelerate our growth strategy, including expanding our portfolio and further strengthening our digital and AI capabilities,” said David Grant, CEO at Westcon-Comstor.
“Equally importantly, this structure ensures continuity. We retain the leadership stability and long-term strategic focus that have underpinned our success to date, while adding a partner with the scale and expertise to help us maintain our growth trajectory.”
Jens Montanana, CEO of Datatec, added: “After assessing various strategic options, we have concluded a structure which we believe preserves and accelerates the winning Westcon-Comstor formula.”
Leo Wouters, MD at General Atlantic, explained that capital and strategic support can help unlock compelling opportunities as Westcon-continues to build out its product portfolio and international presence.
The move comes as Westcon has reported rising figures for the year ended 28 February.
Gross invoiced income (GII) increased 9.6 per to $5.7bn (£4.3bn), driven by cyber demand and growth across all regions.
Revenue spiked 2.8 per cent to $1.9bn, while gross profit soared 13.1 per cent to $499.2m and adjusted EBITDA climbed 15 per cent to $172.4m.
The distie also strengthened its EMEA footprint through partnerships and acquisitions.
Earlier this month, it entered the Balkans through the integration of Slovenia-based value-added cyber distributor REAL Security, a business it acquired in January.
It also announced the expansion of its Cloudflare partnership into EMEA this week, following its existing relationship with the vendor in APAC.
Other signed agreements over the past 12 months include Cisco, Proofpoint, UiPath, Meter, Check Point Software, Fortanix, Cato Networks, 1Password, Ericsson and Vectra AI.
